Job Summary:  The Legal and Compliance Officer will handle all legal, compliance and data protection matters in which the Company is involved within the legal and compliance function.

 

Key Duties and Responsibilities:

Legal;

  • Negotiate (on legal aspects), draft and finalize legal documents and contracts on behalf of the company in liaison with the respective department and third parties
  • Receive and manage summons and, after identification of external counsel, forward to external counsel;
  • Need to travel with external counsel for court cases
  • Prepare and assemble materials, documents and exhibits for court appearances and hearings;
  • Secure evidence and documents for litigation;
  • Prepare reports and analysis of internal cases, results and timings including monthly updates for head of department, litigation updates on matters coming up for hearing the following month.
  • Support the Head of Department in the administration of licences and permits including maintenance of a register for the Company.

Compliance;

  • Review, Draft, Disseminate, advise on and implement Holcim Compliance Policies and minimum control standards.
  • Support in the compliance training of employees on; Anti-Bribery and Corruption, Code of Business Conduct, Fair Competition, Conflict of Interest, Gifts, Hospitality & Entertainment, Sponsorship & Donations and Integrity line.
  • Monitoring and review of the Compliance Tools such as; the Competitor Contact Tool, Conflict of Interest Declaration, Third Party Due Diligence, in order to implement compliance controls and mitigate related risk.
  • Assist Group in carrying out investigations as Case Manager as and when called upon to do so.
  • Advise on legislative requirements for compliance with the International and local related Regulations.
  • Liaise with the various government stake holders and align our practices to the required standards in the industry at all levels.
  • Follow up on the issuance of the different licenses required for our operations at all sites.
  • Provide legislative education, workshops or other trainings to all staff regarding the international and local laws applicable to our industry.
  • Identify global and regional best practice and conduct legal analyses on reviewed and proposed legislative instruments.
  • Provide legal guidance to the Company on issues impinging on national laws and policies.

Data Protection

  • Monitoring compliance with data protection laws, group data protection policies, awareness training and audits
  • Act as a contact person for the Company and Authorities on all matters related to data protection
  • Cooperate with the data protection regulation authority in Uganda.
  • Identifying and evaluating the company’s data processing activities.
  • Roll out and monitor the data protection policy in the Company.
  • Make sure that there is no breach of data in anyway and with all stake holders across the business.

Cost Control

  • Assist in preparation and monitoring of department budget;
  • Monthly review of RU/CC reports and re-allocation of non-legal or misplaced costs;
  • Manage input, retrieve, update and destruction of documents in archives;
  • Certify all invoices are in accordance to contracts or statute, process approved invoices and follow up on payment;

Company Secretarial

  • Manage administration of board and shareholder meetings including travel, accommodation, meeting rooms, facilities, travel allowances, visas etc;
  • Assist the Company Secretary to compile the board papers and distribution;
  • Update minute books and ensure all approved minutes are signed and pasted;
  • Co-ordinate filing of annual returns with Registrars ensuring all requisite documents and signatures are obtained;
  • Communicate board payments and other financial information;





Qualifications, Skills and Experience:

  • The applicant must hold an LLB Honours in Law
  • Diploma in legal Practice from Law Development Centre
  • Enrolled advocate would be an advantage.
  • One year of progressive and relevant work experience in manufacturing/mining industry and/or in a busy law firm.
  • Familiarity with the International and local manufacturing Regulations and requirements.
  • Demonstrated experience in convening and leading legislative discussion with law makers and technical officials
  • Demonstrated experience and skills in successful collaboration with senior and highranking Government of Uganda officials and other public and private stakeholders.
  • Excels in a fast-paced environment, owns the outcomes.
  • Imagines new ways of doing things, makes them happen.
