trading by the name Capital Finance Corporation Limited. Licensed and
supervised by Bank of Uganda under the Financial Institutions Act 2004, Capital
Finance Corporation Limited offered a wide range of products such as savings
accounts, business accounts, fixed deposits, business loans services and remittances
through Western Union money transfer agency. ABC Capital Bank is part of ABC
Group, Kenya and has ambitious growth plans.

 

Job Summary:  The Company Secretary / Legal Manager will provide
secretarial services to the Board of Directors and provide and manage legal and
compliance services required for the Bank’s operations. The incumbent will be responsible
for overseeing the bank’s anti-money laundering and control of terrorist financing
programs.

 

Key Duties and
Responsibilities:

 Board
Secretary Roles:–

·       
Responsible
for secretarial services to the Board of Directors and Management of the Bank.

·       
Working
in conjunction with the Chief Executive Officer/ Executive Director, draw up
the agenda for the Shareholder’s Meeting, Board Meeting and Board Committee
Meetings, and make necessary arrangements for organizing the meetings.

·       
Prepare
and or review Board papers for quality assurance purposes, for Board and Board
Committee meetings.

·       
Take
minutes of all Shareholder, Board and Board Committee meetings and distribute
them to all rightful recipients.

·       
Inform
the Board on key issues affecting the banking industry in general and our bank
in particular and respond to queries and requests of Board members with regard
to areas to do with current and future legislation.

·       
Prepare
action reports for the Board on the Progress of implementation of Board
decisions.

·       
Provide
advice to the Management of the Bank and the Board of Directors on compliance
with all legal requirements pertaining to the Bank’s operations and the consequences
of noncompliance.

·       
Ensure
that the company seal is kept safely and is used only on necessary legal
documents.

·       
Ensure
responsibility for all regulatory work requirements in registrar of companies
like registration of resolutions, seeking clearances and timely filling of all
company returns.

Legal Support to
the Credit and other Departments:-

·       
Oversee
the registration of Bank’s interest on all collateral pledged for credit
facilities by staff and customers and to ensure the perfection of security.

·       
Oversee
the verification of documents of tittle for property to be mortgaged and to get
it verified that the property if free from any encumbrances and is freely
marketable.

·       
Provide
legal opinion and guidance to the Bank in the preparation and review of contracts
with third parties.

·       
Represent
the interests of the Bank in the courts of law and other fora.

·       
Provide
legal advisory services to all matters of a legal nature. This would include
areas such as new legislation, internal policies and procedures etc.

·       
Any other
work that may be assigned by Executive Management / Board members and mutually
agreed upon by both parties.

·       
Carryout
any other duties as assigned from time to time.

 

Key Performance Indicators:-

·       
Safe
custody and recording of the Board minutes.

·       
Timely distribution
of agendas, minutes and resolutions of the Board and Management to concerned
parties.

·       
Sound
counsel to the Board of Directors and management.

·       
Eliminating
(in number and impact) the incidents involving legal risks.

·       
Timely
completion of all legal documents/ contracts especially in the loan department

·       
Timely
completion of mortgages and registration of the Bank’s interest with various
authorities for perfection of securities.

 

Qualifications, Skills and Experience:  

·       
The applicant
for the ABC Capital Bank Company Secretary / Legal Manager job placement must
hold an honors degree in Law from a recognized University.

·       
Diploma
in Legal Practice and, possession of a valid certificate of registration.

·       
Profession
qualification/membership of a chartered secretary is desirable.

·       
A
minimum of four years of legal practice and compliance experience in a
reputable public or private organization or firm, two of which should be at a
senior level.

·       
Communication
and interpersonal skills (written and verbal)

·

·       
Analytical,
problem solving and negotiation skills

·       
Planning,
prioritizing and time management skills

·       
Knowledge
of Company’s Act, Financial Institutions Act and other applicable laws.
