1.0. About S.O.U.L. FOUNDATION INC.

Built upon a foundation of trust and collaborative solutions, Supporting Opportunities for Ugandans to Learn (S.O.U.L.) Foundation focuses on using a community-engaged development (CED) model to eradicate poverty in rural Eastern Uganda. The vision of the S.O.U.L. Foundation is vibrant and resourceful Ugandan rural communities with the power to transform a collective future. Our mission is to support sustainable community led solutions through unique partnerships that strengthen quality education access and maternal health in rural Ugandan communities. The goals of our organization are threefold:

  • Designing sustainable innovative community led solutions that empower rural communities;.
  • Increasing access to quality educational opportunities for rural communities.
  • Supporting quality, dignified and respectful maternal health in rural settings.

 

The social problem the S.O.U.L. Foundation is trying to address is ending extreme poverty in rural Ugandan communities. The solution that our organization offers is supporting educational opportunities and quality maternal health care in three rural communities in eastern Uganda, with the potential to expand to three other rural communities.

 

S.O.U.L. Foundation is registered with the NGO Bureau, having the Permit to Operate number INTP100524997NB and Certificate of Registration number INTR104834997. S.O.U.L. Foundation is governed by the Board of Directors (BOD) who appoint the Executive Director. The BOD is the supreme organ of the organization and is constituted as per the provisions in S.O.U.L. Foundation Constitution. The BOD is headed by the Board Chair, with other members including the Treasurer, Secretary and Sub-committee heads. S.O.U.L. Foundation is also registered with the URSB and FIA (Financial Intelligence Authority of Uganda).

 

2.0. The External Audit

To improve our internal financial systems and processes, S.O.U.L. Foundation Inc invites proposals from suitably qualified and competent registered auditors with a high level of knowledge and understanding of the Non-Governmental Organization (NGO) sector and accounts to conduct an audit of annual financial statements for the period ending 31st August 2023.

 

The proposal should include the following:

 

  1. a) Firm details
  • Structure, size, capacity, and expertise in the sector.
  1. b) NGO clients
  • General description of the firm’s NGO clients (sectors of operation, size, etc.) and two contacts from whom references may be sought should S.O.U.L. Foundation Inc choose your firm.
  1. c) Staff details
  • Staff details, including information relating to the partner and manager who will be assigned to the audit, including details of relevant skills and qualifications.

 

3.3. Audit approach

 

How the firm will:

  • Determine audit strategy and undertake audit planning.
  • Liaise with Trustees and staff members before, during, and after the audit.
  • Address matters of audit scope and materiality.
  • Identify and respond to critical audit issues.
  • Control and coordinate the audit process.
  • Ensure appropriate responsibility for decisions on the audit.
  • Conduct the reporting arrangements (including the provision of fnal hard and soft copies of relevant documents).

 

4.0. Audit Duration:

Due to the urgency, S.O.U.L. Foundation Inc expects the audit work (including the final report) to be completed within a maximum of one month from the date of commencement. The firm should highlight the proposed timeline for completing the assignment within its proposal.

 

5.0. Fees

A breakdown of the proposed fees, including estimates to cover the following:

  • Audit of the annual financial statement for S.O.U.L. Foundation Inc – Uganda office for the financial year ending 31st August 2023.
  • Advice and assistance directly related to the external audit.
  • Fees (if any) for any exceptional additional work not covered above and directly related to the external audit.

 

The fee proposal should include the following:

 

  • An analysis of hours by grade of staff involved in the audit and details of hourly charge-out rates.
  • The basis of charging expenses.
  • The proposed billing schedule.

 

S.O.U.L. Foundation Inc has a limited budget for this assignment, and thus, strict consideration of Value for Money (VfM) will be applied when assessing the proposals.

 

Client list and references

The firms should provide a list of clients for whom they have provided audit services. Preference will be given to companies with demonstrable experience in providing accounting and audit services for small to medium (I)NGOs. S.O.U.L. Foundation Inc reserves the right to contact existing clients for references regarding the firm’s work and approach.
