About US:

The Capital
Markets Authority (CMA) is a statutory body, established in 1996 by the Capital
Markets Authority Act (Cap 84) as amended, to promote, develop and regulate the
capital markets industry. CMA is governed by a Board of Directors appointed by
the Minister of Finance, Planning and Economic Development. The work of the CMA
is also governed by the Securities Central Depositories Act, 2009 and the
Collective Investment Schemes Act, 2003.

 

Job Summary:  The Director Legal & Board Affairs will develop
and review CMA’s regulatory framework; and provide Board secretarial services and
legal counsel to the Board, CEO and Senior Management

Key Duties and Responsibilities:  

·       
Managing Board Secretarial affairs which include
submission of board papers to the board, minute taking, extracting and
circulating action items from board meetings to responsible line managers, and
includes budgeting for Board activities;

·       
Develop and review CMA’s laws and regulations, and in
liaison with the market supervision department, lead the review of rules of
stock exchanges. This also includes reviewing regulatory notices and guidelines
to guide market intermediaries;

·       
Ensure the Authority complies with all statutory laws and
regulations e.g. AML Act and regulations, procurement laws, and public finance
laws etc.

·       
Manage the performance of the department. This includes
planning, setting performance targets supervising and reviewing staff
performance and capacity development, preparing department budgets;

·       
Provide legal opinions to the CEO, Senior Management Team
and Board;

·       
Preparation of MOUs and administrative contracts (e.g.
procurement, employment)

·       
Conduct investigations into market abuse by licensed and
unlicensed persons as well as public companies and recommend appropriate
actions.

·       
Carry out enforcement action against persons in breach of
capital markets laws and regulations;

·       
Representing the CMA in courts of law and other dispute
settlement for a directly and /or through external counsel;

·       
Liaise with national legislative institutions on issues
that relate to the mandate of CMA;

·       
Any other related duties that may be assigned from time to
time

 

Qualifications, Skills and Experience:

·       
The applicant for the Capital Markets Authority (CMA)
Director Legal & Board Affairs employment opportunity should hold a
Bachelor’s (Honors) of Law

·       
Diploma in Legal Practice (or equivalent bar course)-
Essential

·       
A relevant post-graduate academic
qualification/professional (e.g. Securities Law, Commercial Law, Arbitration)

·       
Institute of Chartered Secretaries & Administrators
(ICSA) is Desirable

·       
At least ten (10) years’ post qualification experience,

·       
Seven (7) Years of progressive commercial/ Corporate law
experience.

·       
Previous experience in Financial sector regulation will be
an added advantage

·       
Previous experience in litigation and /or enforcement is
desirable

·       
Strong performance management experience will be an added
advantage

·       
Leadership (by example & talent, demonstrates the
ability to provide clear direction)

·       
Communication (Ability to clarify situations, structure
interactions towards productive conclusions)

·       
Encouraging (expression/debate, seeking win-win solutions;
and commanding attention & respect).

·       
Initiates and supports change

·       
Excellent coordination and organization skills

·       
High level of integrity
