About NSSF:
The National Social Security
Fund (NSSF) is the National Saving Scheme mandated by Government through the
National Social Security Fund Act to provide social security services to
private sector employees in Uganda. NSSF is also licensed by the Uganda
Retirement Benefits Regulatory Authority as a Retirement Benefits Scheme. NSSF
is the largest social security services provider in Uganda covering all
employees in the private sector working in enterprises that have five or more
workers who are not covered by the Public service pension scheme. NSSF’s
membership is now over 1.3 million members. The Pension .sector is going
through major regulatory changes which will lead to a significant impact on
employees working with NSSF. NSSF has significantly positioned itself as a
dynamic and customer-centric company to continue delivering quality services to
the standards of the private sector. Growing at Ugx 50 billion a month plus
current assets standing at Ugx 3 (three) trillion and with opportunities that
the new social security legislation will present, the Fund is positioning
Itself to remain the leading social security provider of choice.
Job Summary: The
Corporation Secretary will offer legal advice to NSSF’s board and management on
all corporation matters with a view to enhancing efficient, observance of legal
provisions in all commercial management and administrative undertakings, and
providing legal advisory services and support to the Fund.
Key Duties and Responsibilities:
1. Board Secretarial Services:
  • Prepares
    and /or reviews Board papers from other business units for quality
    assurance for Board and Board Committee meetings;
  • In
    consultation with the Chairman and Managing Director, prepares a schedule
    and agenda for Board and Committee meetings;
  • Informs
    the Board on key issues affecting the Fund and responds to Board queries
    and requests with regards to matters to do with current or future
    legalisation;
  • Negotiates
    and draws contracts to be executed between the Fund and third parties, be
    responsible for all legal and insurance matters and is the chief custodian
    of all legal documentation of the authority in the capacity of the Board
    Secretary. Prepares action reports for reporting back to the Board on the
    progress of implementation of Board decisions;
  • Ensures
    proper and orderly conduct of Board meetings and Board Committee meetings;
  • Ensures
    that all board duties are attended to by management.
2. Managerial
Responsibilities:
  • Manages
    the performance of the Department;
  • Approves
    all expenses relating to the department in accordance with the Fund’s
    standard procedures;
  • Responsible
    for custody and application of the Fund’s seal
  • Responsible
    for the custody of the Fund’s official documents.
3. Advisory Services:
  • Provides
    legal advisory services on all matters of a legal nature in the Fund. This
    includes areas such as new legislation, internal policies and procedures,
    major pending cases involving or affecting the Fund, insurance and social
    security issues, among others;
  • Provides
    legal advice on benefits payable, drawing contracts, prosecuting employers,
    defending the Fund in courts of law and advice on requests/ applications
    for exemption from making contribution;
  • Reviews
    and finalizes contracts for various services from business units and
    external parties to the Fund. Negotiates with external parties on contract
    terms and conditions;
  • Prepares
    the gazette notices and statutory instruments for declaration of interest
    payable to members by the Minister.
  • Oversees
    the carrying out of legal due diligence on investment proposals for
    submission to the executive committee of management and subsequently to
    the Board;
  • Ensures
    timely compliance with all statutory requirements.
Qualifications, Skills and Experience:
  • The
    Corporation Secretary should possess a Bachelor of Laws Degree plus a
    Postgraduate Diploma in Legal Practice, be an Advocate of the High Court
    in Uganda and a Professional Qualification in ICSA will be an added
    advantage.
  • The
    candidate must have a minimum of ten years’ working experience at Head of
    Department or directorate level.
  • Excellent
    track record of having handled successful litigations or court cases,
    considerable knowledge, experience and competence in managing legal
    matters and familiarity with the current global and local regulatory
    environment for investment funds as well as a demonstrated ability to keep
    on top of developments in the pension sector globally.
  • Good
    understanding of the Ugandan economy and an appreciation of the culture
    and environment associated with commercial legal matters in the
    telecommunication industry;
  • Demonstrable
    track record of performance, executive presence and decision making are
    key;
  • Evidence
    of the ability to interact, relate to, work with and support the
    activities of a dynamic corporation’s highly qualified staff and Board
    members is desirable; and
  • Prior
    experience in administration and management with an organisation and in
    dealing with Boards of Directors.
